Non-Disclosure, Non-Circumvention & Fee Agreement · 9 clauses
These clauses are legally-reviewed and 2026-compliant. They appear verbatim in every agreement signed by your investors. Org name, fees, and property details are dynamically inserted at signing.
1. Confidentiality
All deal pack information is strictly confidential and must not be shared with any third party.
2. Non-Circumvention
24-month restriction on contacting the vendor, agent, or associated parties directly — permanently for the Introduced Property (with carve-out for publicly marketed property after 6 months).
3. Third-Party Introductions
Full sourcing fee due if anyone the investor disclosed the deal to subsequently purchases the property.
4. Fee Agreement
Reservation fee (non-refundable) + sourcing fee balance on completion. Full fee due within 24 months regardless of purchase route. Total fee disclosed upfront per DMCCA 2024.
5. Breach & Remedies
Liquidated damages clause enforceable under Cavendish Square [2015] UKSC 67. Sourcer can also claim actual damages exceeding the fee where loss is proven.
6. Independent Due Diligence
Investor is responsible for their own legal, financial, and structural due diligence. No warranties as to completeness or accuracy.
7. Anti-Money Laundering
MLR 2017 compliance — investor must provide proof of identity, address, and source of funds before deal pack is released.
8. Data Protection
UK GDPR Article 13 notice — lawful bases, retention period (6 years minimum), data subject rights, and ICO complaint right.
9. Governing Law
England and Wales. Exclusive jurisdiction of English courts.
